Acceptance of terms

These Terms of Service (“Terms”) govern access to and use of the website located at www.airbound.com (the “Site”), operated by Airbound International Inc, together with its wholly owned subsidiaries including Opendrone Private Limited (collectively, “Airbound”, “we”, “us”, or “our”). By accessing or using the Site, you (“User” or “you”) agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Site.

About Airbound and the Site

Airbound designs, engineers, and manufactures autonomous fixed-wing delivery drones - including the Airbound TRT platform - and operates commercial drone delivery networks for enterprise, healthcare, and e-commerce logistics partners. The Site provides information about Airbound's technology, business, and career opportunities, and allows Users to submit inquiries and career applications.

The Site does not currently offer any product, service, or security for sale or subscription, and nothing on the Site constitutes an offer to sell, or the solicitation of an offer to buy, any product, service, or security. If Airbound introduces online ordering, accounts, or e-commerce functionality on the Site in the future, additional or updated terms will apply to those features.

Eligibility

The Site is not directed to, and should not be used by, individuals under the age of 18 (eighteen) years. By using the Site, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Use of the site

Subject to your compliance with these Terms, Airbound grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your own personal or internal business informational purposes. You agree not to:

Copy, reproduce, republish, distribute, or create derivative works from the Site or its content, except as necessary to view the Site in a standard web browser;
Use any robot, spider, scraper, or other automated means to access, monitor, or copy the Site without our prior written consent;
Attempt to gain unauthorised access to the Site, related systems or networks, or any accounts, or interfere or attempt to interfere with the proper functioning of the Site;
Reverse-engineer, decompile, or otherwise attempt to derive the source code or underlying ideas of any software made available on or through the Site;
Use the Site for any unlawful purpose, or to transmit any harmful, infringing, defamatory, or unauthorised commercial content; or
Misrepresent your identity or affiliation, or impersonate any person or entity, in connection with your use of the Site.

Intellectual property

The Site and all content, features, and functionality made available on or through it - including text, graphics, images, video, software, the “Airbound” and “Airbound TRT” names, logos, and marks, and all underlying technology (collectively, the “Content”) are owned by Airbound or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the United States, India, and other jurisdictions. Except for the limited licence granted in use of the site, no right, title, or interest in the Content is transferred to you, and all rights not expressly granted in these Terms are reserved by Airbound.

Careers submissions and inquiries

If you submit a resume, cover letter, portfolio link, or other information through our Careers page, or send information to Airbound through the Site or by email (including to contact@airbound.com), you represent that the information you submit is accurate and that you have the right to submit it. You grant Airbound a non-exclusive, worldwide, royalty-free licence to use, store, and process such submissions for recruitment, business development, and other related internal purposes, in each case in accordance with our Privacy Policy. Submission of an application or inquiry does not guarantee a response, an interview, or any offer of employment or business relationship, and Airbound is under no obligation to retain, act upon, or respond to any submission.

Third-party links

The Site may contain links to third-party websites or services (including social media platforms) that are not owned, operated, or controlled by Airbound. We are not responsible for, and do not endorse, the content, accuracy, products, services, or privacy practices of any third-party site. Inclusion of a link does not imply any affiliation, sponsorship, or endorsement, and you access any such third-party site at your own risk.

Information on the Site regarding Airbound's technology, drones, and their specifications, performance, weight, materials, range, payload, manufacturing capabilities, flight-test results, and future plans is provided for general informational purposes only. Such information may describe prototype, in-development, or flight-test capabilities rather than commercially deployed or certified capabilities, is subject to change without notice, and may constitute forward-looking statements that involve known and unknown risks and uncertainties. Actual results, capabilities, regulatory approvals, certifications, and availability may differ materially from any statement made on the Site.

Commercial operation of Airbound's drone delivery services is subject to obtaining and maintaining the necessary permissions, certifications, and approvals from applicable aviation and other regulatory authorities and other authorities with jurisdiction over Airbound's operations.

Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AIRBOUND DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AIRBOUND AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, EVEN IF AIRBOUND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AIRBOUND'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US$100).

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud or wilful misconduct.

Indemnification

You agree to indemnify, defend, and hold harmless Airbound and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Site; (b) any information or content you submit to the Site; or (c) your violation of these Terms or of any applicable law.

Export control and trade compliance

Given the nature of Airbound's drone technology, certain information, technical data, or technology made available on or through the Site may be subject to the export control, sanctions, and import laws of the United States, India, and other applicable jurisdictions. You agree not to access, use, export, re-export, or transfer any such Content in violation of applicable export control or sanctions laws, and you represent that you are not (a) located in, or a national or resident of, any country subject to a U.S. or other applicable government embargo, or (b) listed on any government list of prohibited or restricted parties.

Termination

We may suspend or terminate your access to all or part of the Site at any time, without notice, for any reason, including if we believe you have violated these Terms. Sections of these Terms that by their nature should survive termination - including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Export Control, and Governing Law - shall survive any termination of these Terms.

Governing law and dispute resolution‍

These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or the Site, shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles.

Subject to any mandatory consumer-protection or other rights that you may have under the laws of your country of residence and which cannot be waived under applicable law, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the competent courts located in Bengaluru, Karnataka, India, and you consent to the personal jurisdiction of such courts.

Changes to these terms

We may revise these Terms at any time by posting an updated version on the Site and revising the “Last Updated” date above. Changes take effect as soon as they are posted. Your continued use of the Site after any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Airbound regarding the Site and supersede any prior agreements. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Airbound's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. You may not assign or transfer these Terms, by operation of law or otherwise, without Airbound's prior written consent; Airbound may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
